Terms of Service for Morganis

I. Acceptance of Terms

Thank you for using Morganis. These Terms of Service (the "Terms") are intended to make you aware of your legal rights and responsibilities with respect to your access to and use of the Morganis website (the "Site") and any related mobile or software applications ("Morganis Platform").

By accessing or using the Morganis Platform, you are agreeing to these Terms and concluding a legally binding contract with Morganis (hereinafter referred to as "the Company"). You may not use the Services if you do not accept the Terms. Your use of the Morganis Platform is at your own risk.

II. Definitions

  1. Customer: "Customer" or "You" refers to the person accessing the Services for the purpose of browsing, ordering, or transacting for food and beverages.
  2. Content: Includes reviews, images, photos, location data, and all other forms of data or information.
  3. Merchant Partner: Refers to the restaurants, cafes, or stores listed on the Morganis Platform where food is prepared for collection.

III. Eligibility and Use of Services

  • Age: You must be at least eighteen (18) years of age to use these Services independently.
  • Compliance: You agree to use the Services only in compliance with these Terms and applicable local and national laws.
  • Account: You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account.

IV. Provision of Services (The Morganis Model)

Morganis is a platform that facilitates the ordering of food and beverages from Merchant Partners for in-store collection only.

1. No-Delivery Disclaimer

Morganis does not provide, facilitate, or offer delivery services.

  • All orders placed through the platform must be collected by the Customer (or an authorized representative) at the physical location of the Merchant Partner.
  • Morganis is not responsible for the transportation of food or any issues arising from the Customer's travel to the Merchant Partner's premises.

2. Information Accuracy

The content on the Services is for informational purposes. While we strive for accuracy, the Merchant Partner is solely responsible for the prices, availability, and descriptions of menu items.

V. Food Ordering and Collection

1. Order Placement

Your request to order through a Merchant Partner page on the Morganis Platform constitutes an unconditional authorization for Morganis to place that order with the Merchant on your behalf.

2. Collection Timelines

  • Estimated Ready Time: The "Ready for Collection" time provided is an estimate only.
  • Late Collection: If you fail to collect your order within a reasonable timeframe (as defined by the Merchant's food safety standards), the Merchant Partner reserves the right to dispose of the food. In such cases, no refund will be issued.

3. Verification

Upon collection, you may be required to show your order confirmation (digital or printed) and/or provide the mobile number associated with the account to verify your identity.

VI. Payments, Cancellations, and Refunds

  • Pricing: The total price, including applicable taxes and platform fees, will be displayed at checkout.
  • Cancellations: Once an order is accepted by a Merchant Partner, it cannot be cancelled. Because the food is prepared specifically for your collection, no refunds will be provided for "change of mind" or failure to collect.
  • Refunds: Refunds are only processed if the Merchant Partner is unable to fulfill the order (e.g., out of stock) or in cases of technical error confirmed by Morganis.

VII. Content and Intellectual Property

  • Morganis Content: All software, design, logos, and graphics are the exclusive property of Morganis.
  • Customer Content: By posting reviews or photos, you grant Morganis a perpetual, irrevocable, worldwide, royalty-free license to use, display, and distribute that content for any purpose.
  • Prohibitions: You agree not to "scrape" the platform, use bots, or upload malicious code.

VIII. Disclaimers and Limitation of Liability

  1. Quality of Food: Morganis is an intermediary. The Merchant Partner is solely responsible for the quality, hygiene, preparation, and packaging of the food.
  2. Allergies: Customers are advised to contact the Merchant Partner directly regarding food allergies or dietary restrictions before placing an order.
  3. Liability Cap: To the fullest extent permitted by law, Morganis's total liability for any claim shall not exceed the amount paid by the Customer for the specific order giving rise to the claim.

IX. Termination

We reserve the right to terminate or suspend your access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, Merchant Partners, or the Company.

X. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Vadodara.
